Delaware raises business filing fees under HB 400, effective Aug 1, 2026

Delaware HB 400 (signed May 21, 2026) raised Division of Corporations filing fees effective Aug 1, 2026: foreign corporation annual reports now $250, banking/preclearance $350, electronic UCC filings $50→$75, and expedited-service caps up to $2,500. Separately, the annual tax on LLCs, LPs and GPs rose from $300 to $400 for the 2026 tax year.

Why this matters for founders

If you're incorporating or maintaining a Delaware entity, budget for higher filing and annual-tax costs, and file non-urgent documents on standard timelines to avoid the steeper expedited fees.
