FinCEN permanently ends beneficial-ownership (BOI) reporting for US companies

On Aug 11, 2026 FinCEN issued a final rule permanently removing the Corporate Transparency Act requirement for US companies and US persons to file beneficial-ownership information, effective on Federal Register publication (Aug 14, 2026). FinCEN will delete previously reported US-person data; only foreign reporting companies with foreign owners must still report.

Why this matters for founders

US LLC and C-corp founders no longer need to file or update a FinCEN BOI report—drop it from your compliance calendar, though foreign-owned entities should confirm whether the foreign-owner carve-out still applies.
