Delaware's 2026 corporate-law amendments take effect August 1, 2026

Governor Matt Meyer signed the 2026 amendments to Delaware's General Corporation Law, LLC Act, and LP Act on June 10, 2026, effective August 1, 2026. Changes clarify the procedure for opting out of Section 242 voting requirements when changing authorized shares, and add post-dissolution service-of-process rules (new Sections 275(h) and 275(i)).

Why this matters for founders

Most US startups incorporate in Delaware—have counsel refresh charter-amendment and dissolution language and confirm your stock-authorization voting provisions match the new Section 242 rules.
