Key provisions of Singapore's Corporate and Accounting Laws (Amendment) Act 2025 (CALA) took effect on 6 May 2026. The maximum fine for directors who breach their duties rose from S$5,000 to S$20,000, with imprisonment of up to 12 months for serious offences, and directors convicted of money-laundering offences are now automatically disqualified. Audit reports must also name the public accountant primarily responsible for the engagement.
Singapore CALA 2025 in force: director-duty fines quadruple to S$20,000
Any founder sitting as a director should tighten governance now: actively review company decisions rather than rubber-stamp them, keep statutory registers current, and vet any nominee director or corporate service provider, since personal liability has risen sharply.
